GREYLOCK INFORMATION TECHNOLOGIES, INC. – STANDARD TERMS OF SERVICE

Last Updated: January 2026

These Standard Terms of Service ("Terms") govern the provision of all information technology, cybersecurity, network administration, and consulting services ("Services") provided by Greylock Information Technologies, Inc. ("Provider") to the client receiving such services or paying an invoice ("Client"). By authorizing work, paying an invoice, or continuing to receive Services, Client agrees to be bound by these Terms.

1. Scope of Services & Acceptance

  1. Service Delivery: Provider will deliver IT services as requested by Client via verbal authorization, email, support ticket, or formal quote/invoice.
  2. Third-Party Vendors: Provider may recommend third-party hardware, software, or cloud services. Provider is not responsible for the performance, warranties, or security vulnerabilities of third-party products.
  3. Acceptance: Payment of any invoice or continued use of Provider's Services constitutes full acceptance of these Terms.

2. Cybersecurity & Data Backups

  1. No Guarantee of Immunity: Provider implements industry-standard administrative and technical safeguards. However, Client acknowledges that no computer network, software, or IT system is completely impenetrable. Provider does not warrant or guarantee that Client systems will be immune from malicious cyberattacks, zero-day exploits, unauthorized intrusions, malware, or ransomware.
  2. Data Backups: Unless Client has explicitly contracted Provider in writing to manage and verify daily off-site data backups, Client is solely responsible for maintaining current backups of all critical data and software.
  3. Regulatory Compliance: Client is solely responsible for ensuring its own compliance with industry-specific data privacy regulations (e.g., HIPAA, PCI-DSS, GDPR, CCPA, BIPA). Provider’s Services do not constitute legal or compliance advice.

3. Limitation of Liability & Damages Waiver

  1. Liability Cap: To the maximum extent permitted by applicable law, Provider’s total cumulative liability arising from or related to the Services—whether in contract, tort (including negligence), strict liability, or otherwise—shall be strictly limited to the total service fees paid by Client to Provider in the six (6) months immediately preceding the event giving rise to the claim.
  2. Waiver of Consequential Damages: In no event shall Provider be liable for any indirect, special, incidental, punitive, or consequential damages. This waiver includes, but is not limited to, damages for loss of profits, loss of revenue, business interruption, downtime, loss of data, corrupted data, or the cost of procuring substitute goods or services, even if Provider has been advised of the possibility of such damages.

4. Client Insurance Obligations

Client acknowledges that IT infrastructure inherently carries operational and security risks. Client agrees to maintain its own commercial insurance policies adequate to cover its business operations, including but not limited to Cyber Liability and Data Breach Insurance to cover first-party recovery costs, ransomware extortion, forensic investigations, and third-party liabilities arising from a security incident.

5. Financial Terms

  1. Payment: All invoices are due upon receipt unless otherwise specified in writing.
  2. Late Fees: Provider reserves the right to suspend Services and apply a late fee of 1.5% per month (or the maximum permitted by law) to any undisputed balances older than thirty (30) days.
  3. Suspension of Service: Provider shall not be held liable for any damages, downtime, or security incidents that occur during a period where Services were suspended due to non-payment.

6. Term, Termination & Intellectual Property

  1. Termination: Either party may terminate ongoing services at any time with thirty (30) days written notice. Client remains responsible for all fees incurred up to the date of termination.
  2. Intellectual Property: Provider retains all intellectual property rights to any proprietary scripts, software, administrative tools, or workflows used or created in the delivery of the Services. Client retains all ownership of its own data and proprietary information.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be resolved exclusively in the state or federal courts located in Massachusetts, and the parties hereby submit to the jurisdiction of such courts.
